This program will provide an overview of negotiating and drafting letters of intent (“LOI”). Our presentation will cover the purpose of letters of intent, legal rights created thereunder, and the consequences of breaching LOIs. Topics of discussion will include:

  • Does an LOI constitute an enforceable agreement?
  • Why execute an LOI?
  • When to use an LOI?
  • LOI, term sheet or both?
  • What goes in an LOI?
  • Binding vs. non-binding provisions
  • Buyer’s perspective vs. seller’s perspective
  • General biases and risks

1.5 hours of CLE credit will be made available and lunch will be provided.
