As a member of Hinckley Allen’s Corporate & Business group, Meaghan has represented businesses in a variety of corporate, capital market and commercial transactions, including mergers, stock and asset acquisitions, venture capital investments and public notes offerings. Meaghan routinely advises clients on a range of corporate, regulatory, contractual and governance matters and is a member of the Firm’s Cybersecurity, Privacy & Data Protection and Artificial Intelligence Groups. Additionally, Meaghan serves as Co-Chair of the firm’s Women’s Forum and Co-Chair of the Rhode Island Business Competition.

Prior to joining Hinckley Allen, Meaghan was a corporate associate at a top international law firm where she represented companies, private equity firms and financial institutions in a variety of capital market transactions, including debt and equity offerings, exchange offers and initial public offerings. Meaghan served as a law clerk to the Honorable Sam Glasscock III on the Delaware Court of Chancery following her graduation from Duke University School of Law.

  • Represented Middle West Partners in its acquisition of Paul Stuart.
  • Represented an investment firm in its acquisition of a property management software company.
  • Represented an alcoholic beverage distributor in multiple strategic asset acquisitions.
  • Represented an investment firm in its acquisition and subsequent sale of a marina and club.
  • Represented a financial institution in its acquisition of assets from an advisory firm.
  • Represented purchaser in its acquisition of a logistics provider.
  • Represented serial entrepreneurs in their acquisition of a consulting business with a proprietary software platform.
  • Represented a contractor in the sale of its precast concrete division.
  • Represented Norwix, Inc. in an intercompany merger transaction whereby inc.jet Holding, Inc. f/k/a Gunther International Ltd was merged with and into its wholly-owned subsidiary Norwix, Inc. In connection with this merger, inc.jet Holding stock was removed from the OTC Pink market.
  • Represented Rhode Island PBS Foundation in its merger with Rhode Island Public Radio d/b/a The Public’s Radio, which brought together two highly trusted media sources in order to create an integrated multi-media organization that serves as an independent, trusted source for news, investigative journalism, education, and entertainment.
  • Represented a watch band company in its acquisition of substantially all of the assets of a watch band distributor.
  • Represented Excelitas Technologies Corp. in its acquisition of Phoseon Technology, a designer and manufacturer of LED-based industrial curing and scientific illumination solutions.
  • Represented DSM Food Specialties USA in its $453 million purchase of First Choice Ingredients, Inc.
  • Represented Salem Capital Management in the acquisition of Recognition Media.
  • Represented Sons of Liberty Spirits Company in its sale of its Loyal 9 product line to Diageo North America, Inc.
  • Represented the venture capital arm within a multinational company with several investments in growth and early stage companies.
  • Represented a Class I Railroad in several public debt offerings and exchange offers.
  • Represented National Marker Company in its sale to Justrite Manufacturing Company.
  • Represented a family-owned printing and packaging manufacturer in its strategic sale to a global private equity firm.
