Overview

For businesses at critical stages of growth—including start-up, diversification, and expansion—we facilitate and structure venture capital funding across a variety of sources. We work closely with portfolio companies and investors to understand and advance your goals in all aspects of financing transactions, including transaction structure and the negotiation and preparation of definitive investment agreements. Our seasoned, hands-on team provides expert counsel in the structuring and negotiating of investments and financings in emerging and growth companies. We are equally experienced and effective as investor counsel or company counsel.

Sound counsel from proven advisors. Set a firm foundation for your future.

Our Private Equity & Venture Capital attorneys fully understand the issues and concerns relating to the successful growth and evolution of your company, as well as the fund formation and investment strategies used by private equity and venture capital firms. We draw on the depth of Hinckley Allen’s various practice groups and areas of proficiency across all practice areas to formulate innovative strategies for structuring financings and acquisitions of private companies. We regularly provide advice to both private equity and venture capital firms in their fundraising and investment activities, and frequently we represent private equity and venture capital-backed companies in connection with all of their legal needs.

Improving Efficiencies in Pharmaceutical Manufacturing

We assisted our client Royal DSM, a global life sciences and material sciences company, in a $2.6 billion transaction between Patheon, Inc., and the DSM Pharmaceutical Products business group. DPx Holdings B.V., the resulting joint venture entity, is a new contract development and manufacturing organization co-owned by DSM and JLL Partners, a private equity firm.

DPx has 24 locations across the globe and employs more than 8,000 people. DPx is the corporate parent to a group of business units comprised of three distinct brands focused on growing pharmaceutical services, fine chemical products, and other proprietary technologies.
