Jared advises businesses on a wide variety of matters, including governance, entity choice and formation, mergers and acquisitions, contract and financing negotiations, and related matters. He also provides strategic advice and practical guidance to clients on legal issues arising in day-to-day business operations.

A significant portion of his practice is dedicated to Entrepreneurship Through Acquisition (ETA). He provides guidance to search funds, self-funded searchers, and independent sponsors at all stages of the transaction life cycle. In this work, he has helped searchers and funds across the country acquire and sell businesses in various lower-middle market industries, including food processing, technology and software, personal services, and manufacturing. Jared has also served as a guest lecturer in the Entrepreneurship Through Acquisition Field Course at Harvard Business School, where he focuses on transaction timelines and negotiating acquisition agreements in the ETA space.

In addition to this work with the Corporate & Business Transactions group, he is a member of the firm’s Health Care industry group. In this capacity, he counsels industry clients, which include health care systems, senior living operators, physicians and physician groups, dental practices, and veterinary clinics, on transactional and regulatory matters.

Prior to attending law school, Jared worked in elder care administration and operations at an Assisted Living and Specialized Care Residence in the Greater Boston area. He currently serves on the boards of directors of Camp Bauercrest and the Jewish Community Center of Greater Boston, and is Co-Chair of the Boston Bar Association’s Business Transactions Section.

Representative Matters

Business Transactions

  • Represented an independent sponsor in its strategic acquisitions of a comprehensive flow measurement design and manufacturer, an industrial services provider, and a full-service NELAP laboratory focused on drinking water and wastewater industries; serving as strategic counsel to the business for the duration of the sponsor’s ownership and representing the sponsor in the sale of the industrial services provider and the NELAP laboratory.
  • Represented a search fund in the acquisition of tribal management services provider, including a follow-on strategic acquisition; serves as strategic counsel to the business and its affiliates.
  • Represented independent sponsor in acquisition vehicle formation and equity raise in connection with its platform acquisition in the repossession industry.
  • Represented a battery and electronics distributor in their sale to a newly formed U.S. subsidiary of a Jamaican-based public company, Tropical Battery USA.
  • Represented family-owned chain of gas stations and convenience stores in its sale to a national chain.
  • Represented various veterinary practices in sales to national veterinary services providers.
  • Represented Mercure Capital in its acquisition of Pel-Freez, a producer of human and animal biologicals, and food-based products, and its related transaction financing.
  • Represented the owners of a New England-based cable assembly and wiring harness manufacturer in their sale to a private equity-backed strategic buyer.
  • Represented a search fund in its raise of capital and related acquisition of managed care/payor software provider.
  • Represented a search fund in its raise of capital and related acquisition of a specialty safety testing and ride certification business.
  • Represented a search fund in the acquisition of a regional accounting and consultancy firm.
  • Represented a search fund in its raise of capital and related acquisition of a northeast engineering firm.
  • Represented a search fund in its raise of capital and related acquisition of a recreational footwear products company.
  • Represented a records management company in its strategic acquisition of a local competitor and serves as strategic counsel to the business.

Health Care/Senior Living:

  • Represented Milford Regional Medical Center in its strategic affiliation with UMass Memorial Health, guiding the integration of 2,500 employees while ensuring compliance with nonprofit and healthcare regulations and maintaining both organizations’ tax-exempt status and governance structures.
  • Represented Providence Behavioral Health in Holyoke, Massachusetts in its sale of hospital operations and related outpatient business.
  • Represented a Rhode Island-based imaging services practice in its sale of practice locations.
  • Represented regional health system in its acquisition of a local ambulance services provider.
  • Represented regional health system in its acquisition of various physicians’ practices.
  • Served as legal counsel to a Continuing Care Retirement Community (CCRC) in various contracting and regulatory matters.
  • Counseled multiple CCRCs and senior living providers in updating Disclosure Statements, preparing filings with state regulators, and addressing resident-related matters.
  • Represented various physician groups and dental practices in private sales.
