About

Bill’s practice is focused on corporate and business law matters, with particular emphasis in the financial institutions industry. He has extensive experience handling mergers and acquisitions, securities law issues, and corporate governance matters and operational issues including privacy and exam related issues. Bill serves as outside general counsel to a wide range of public and private business concerns in multiple industries, where he is actively involved in providing legal advice, transactional representation, generational transfers and strategic planning. His financial service experience includes directing an almost $2 billion mutual-to-stock IPO/double merger transaction, as well as numerous other conversions, mergers, and de novo formations. Bill regularly represents issuers and investment banks in public offerings and private placements, and public companies with 1934 Act compliance issues. In addition, he routinely lectures at corporate retreats and industry group settings.

  • Represented NewAlliance Bancshares, Inc. in its almost $2 billion mutual-to-stock IPO/double merger transaction, multiple subsequent acquisitions and ultimate sale to First Niagara Financial Group, Inc. for $1.5 billion in cash and stock
  • Advised mutual bank on full public conversion, corporate governance issues related to public company status, and all necessary regulatory applications ($170 million)
  • Advised mutual bank on first and second step conversion to fully public status, including two public offerings, corporate governance issues related to full public company status, and all necessary regulatory applications
  • Represented high net worth financial institution in the acquisition of the membership interests of a registered broker-dealer and the stock of a registered investment adviser
  • Represent one of largest MBE owned car dealerships in the country
  • Represented mutual bank in its $35 million cash acquisition of a public institution.
  • Advised two mutual banks in the formation of Connecticut’s first multi-bank mutual holding company and subsequent affiliation of a third bank.
  • Represented bank in its acquisition of a controlling interest in investment advisor.
  • Represented leading bank investment banking firms in financial advisory assignments
  • Have represented various financial institutions in responding to and negotiating memoranda of understanding, formal orders, and civil money penalties in more than 20 instances.
  • Directed numerous bank conversions, mergers, capital raises, branch purchases/sales and de novo formations
  • Represented manufacturer of meat substitute food line in sale to international conglomerate
  • Represented owner of largest independent real estate broker in southern Connecticut to Prudential franchisee
  • Represented medical courier business to private equity group
  • Represent(ed) numerous family owned businesses in dealing with generational succession issues
  • Represented private equity firm in making portfolio investments
  • Represented institution in purchase of trust assets out of governmental receivership
  • Represent a New Hampshire bank in its pending sale to NH public company
